Event Description:

Join us at our second seminar in our "Business Growth Series": Understanding NH's Revised Uniform Securities Act of 2015

The most significant change to New Hampshire securities law in decades will take effect Jan. 1, 2016, and practitioners need to be ready to help their clients understand the new provisions. Designed to make it easier for companies to raise capital and to bring state law in line with important regulatory interests, the new law expands the available registration exemptions, abolishes the issuer-dealer licensure requirements and updates various other aspects of securities law.

The major topics that will be covered in this course include: the coverage of the new law; which securities and transactions are exempt from registration under the new law; how the federal preemption and state registration requirements for securities offerings interact; the impact of the new bad actor disclosure requirements on offering activities; and the repeal of the issuer-dealer licensure requirements and their substitution with a more limited agent registration.
